Terms of Service
By applying for a membership, purchasing services, or otherwise accessing or using Vellum services, you agree to be bound by these Terms.
Terms ("Terms") constitute a legally binding agreement between you ("Client", "Member", "you") and Vellum Corp Pty Ltd (ABN 27 680 485 849) ("Vellum", "we", "our", "us").
1. Membership Basis
1.1 Private membership model
Vellum operates on a private, membership-only basis. Access to services is granted solely through an approved and active membership.
1.2 Eligibility
Membership eligibility is determined at Vellum’s discretion. Vellum may accept or decline any application without providing reasons.
1.3 Non-transferability
Memberships are personal to the approved Member and are non-transferable. Memberships may not be shared, assigned, sublicensed, or used by any third party without Vellum’s prior written consent.
2. Vehicles and Service Locations
2.1 Registered vehicles
Services are provided only to vehicles registered on the Member’s account.
2.2 Vehicle substitutions
Members may substitute vehicles within their approved vehicle allowance, provided substitutions are reasonable and not systematic. The addition of vehicles beyond the approved allowance requires a membership upgrade or written approval.
2.3 Registered service locations
Service locations must be declared in advance. Vellum may refuse or surcharge services requested at undeclared or frequently changing locations.
2.4 Verification
Vellum may request proof of vehicle ownership, registration, or lawful use at any time.
3. Corporate, Body Corporate and Managed Memberships
3.1 Disclosure requirements
Corporate, body corporate, marina, and managed-site memberships must accurately disclose the number and type of vehicles or assets serviced.
3.2 Prohibited sharing
A single membership may not be shared across multiple tenants, units, fleets, or vessels unless expressly agreed under a tailored corporate agreement.
3.3 Fleet management
Fleet and shared vehicles must be individually registered and managed under a centralised account structure.
4. Service Delivery
4.1 Availability
All services are subject to availability, operational capacity, safety requirements, and lawful access to the vehicle.
4.2 Operating hours
Standard service hours apply. After-hours, public holiday, or emergency services may attract additional charges.
4.3 Access requirements
Unless otherwise agreed, the Member must ensure safe and lawful access to the vehicle at the scheduled service time.
4.4 Service records
Vellum may create service records, including photographic documentation, for quality, compliance, and dispute purposes.
5. Fuel Services
5.1 Fuel type
Vellum supplies Premium Unleaded 98 octane fuel only.
5.2 Compatibility
Members are solely responsible for confirming vehicle compatibility with supplied fuel.
5.3 Fuel pricing
Fuel pricing is determined monthly and applies for the relevant billing period. Members are billed for the volume of fuel dispensed.
6. Billing and Payments
6.1 Billing cycle
Membership fees are billed on a recurring basis. Fuel usage and additional services are consolidated into the billing cycle.
6.2 Payment methods
Approved payment methods must be maintained at all times.
6.3 Non-payment
Failure to make payment when due may result in suspension of services, referral to debt recovery, and the application of interest, administrative fees, or recovery costs.
6.4 No refunds
All fees are non-refundable, including in cases of non-use, suspension, or termination.
7. Fair Use
7.1 Usage limits
Memberships are subject to fair use limits determined by Vellum.
7.2 Monitoring
Usage patterns may be monitored to ensure compliance.
7.3 Enforcement
Irregular or excessive use may result in additional charges, plan adjustments, suspension, or termination.
8. Conduct and Misuse
8.1 Prohibited conduct
Members must not misuse services, including through vehicle or address stacking, unauthorised sharing, or repeated no-shows.
8.2 Enforcement rights
Vellum reserves the right to suspend or terminate memberships for misuse, unsafe conduct, or breach of these Terms.
9. Liability and Risk
9.1 No guarantees
Services are provided on a best-efforts basis without guarantees of availability or outcomes.
9.2 Exclusion of liability
To the maximum extent permitted by law, Vellum excludes liability for indirect, incidental, or consequential loss.
9.3 Liability cap
Where liability cannot be excluded, Vellum’s total liability is limited to the membership fee paid in the billing period in which the claim arose.
10. Suspension and Termination
10.1 Suspension
Vellum may suspend services for non-payment, misuse, safety concerns, or operational reasons.
10.2 Termination
Vellum may terminate memberships for breach of these Terms.
10.3 Renewal and cancellation
Memberships automatically renew unless cancelled in writing with at least fourteen (14) days’ notice prior to the next billing cycle.
11. Changes to Services and Terms
11.1 Amendments
Vellum may amend these Terms, service scope, pricing, or availability from time to time.
11.2 Notice
Reasonable notice will be provided where practicable. Continued use of services constitutes acceptance of amendments.
12. Governing Law
12.1 Jurisdiction
These Terms are governed by the laws of Victoria, Australia.
13. General Provisions
13.1 Severability
If any provision is held invalid, the remaining provisions remain enforceable.
13.2 No waiver
Failure to enforce any provision does not constitute a waiver.
13.3 Entire agreement
These Terms constitute the entire agreement between the parties and supersede all prior representations or understandings.
